London Technology Week – Event Host (Advertising) Terms

1. General
1.1 Throughout these Terms and the Application Form, the following definitions shall apply:
"Agreement" means these Terms and the Application Form; "Application Form" means the relevant media application form; "Copy" means the copy of the advertisement supplied by the Event Host to KNect365 in accordance with clause 3.1, including the Event Host’s name and logo; "Copy Date" the date set out in the Application Form by which the Copy must be submitted to the Publisher; "KNect365" means KNect365, a trading division of Informa Telecoms & Media Limited, a company registered in England and Wales with company number 00991704 whose registered office is at 5 Howick Place, London, SW1P 1WG; "L&P" means London and Partners Venture Limited, incorporated and registered in England and Wales with company number 09916436 whose registered office is at Level 6, 2 More London Riverside, London, SE1 2RR; LTW means the London Technology Week hosted by KNect365 and L&P;
1.2 LTW is jointly owned by L&P and KNect365 and both parties accepts applications for Event Hosts to publicise their events as specified in the Application Form and on the terms and conditions set out below (Terms).
1.3 Unless otherwise agreed by KNect365 in writing, these Terms and any terms set out in the Application Form govern the provision of all advertisements accepted for publication by KNect365 to the exclusion of all other terms and conditions (including any which the Event Host purports to apply under any purchase order, confirmation of order or any other document).
1.4 If the Application Form is inconsistent with any of these Terms, the provisions in the Application Form will prevail, but only to the extent of the inconsistency.

2. Event Host’s Advertisement
2.1 By registering with KNect365 to have the Event Host’s event advertised as part of LTW, including online and on any printed material, the Event Host shall supply the Copy by the Copy Date and in accordance with the technical specifications as specified by KNect365.
2.2 The Event Host hereby grants to KNect365 a non-exclusive, royalty free licence to use the Copy in connection with LTW and the Event Host further acknowledges that KNect365 and/or L&P may continue to use the Copy after the edition of LTW that the Event Host as participated in, only in connection of the promotion of further editions of LTW.
2.3 KNect365 shall have the right to remove any Copy that does not comply with the Terms set out herein.
2.4 The Event Host warrants and represents that the Copy (a) is not defamatory, libellous or otherwise illegal nor infringes the rights of any third party; (b) do not infringe the Intellectual Property Rights of a third party; and (b) complies with the British Code of Advertising Practice, all laws, statutes or regulations and other advertising standards at the time the advertisement is published.
.5 The Event Host undertakes to indemnify KNect365 and L&P on demand from and against any and all losses, claims, damages, costs, expenses (including without limitation legal expenses) and liabilities which the Publisher may sustain or incur as a result of the publication of the advertisement and/or any breach of clause 2.4 of these Terms.
2.6 Where the Advertiser fails to comply with clause 2.1, KNect365 reserves the right to (i) treat the Event Host as having cancelled the advertisement at the Copy Date and the Event Host shall be liable to pay the fees in full; or (ii) make the additional changes required to the form of the Copy and charge the Event Host for the additional production work.
2.7 KNect365 shall not be liable to correct any errors or omission notified to it by the Event Host following its submission. If proofs are agreed to be supplied by KNect365, it shall not be liable to correct any errors or omission unless the Event Host returns the amended proof in sufficient time to enable KNect365 to make such corrections before the relevant publication is finalised prior to publication.

3. Placement
3.1 The Event Host’s advertisement will appear on the LTW website www.londontechweek.com and KNect365 will try to place the advertisement in the section of the website most relevant to the Event Host but reserves the right to make the final decision as to the position of the advertisement.

4. Limitation of Liability
4.1 All reasonable care will be taken to avoid mistakes but the KNect365 does not accept liability for any errors or omissions caused by inaccurate or ambiguous copy instructions, the corruption of copy file formats during transmission to KNect365 or due to any acts, circumstances or defaults beyond its reasonable control.
4.2 To the fullest extent permitted by law, KNect365 excludes any and all implied warranties or conditions.
4.3 KNect365 accepts no liability for any indirect or consequential loss or damage, or for any loss of profit, revenue or business (whether direct or indirect) in each case, howsoever caused, even if foreseeable.
4.4 If KNect365 is liable to the Event for any reason, its liability shall be limited to the amount paid or payable for the advertisement which gave rise to the liability.
4.5 Nothing in this agreement shall limit either party which cannot be excluded by applicable law.

5. Fees and Payment Terms
5.1 The Event Host shall pay the fees together with any VAT in accordance with the payment terms stated in the Application Form (Fees). In the absence of any payment terms in the Application Form, the Event Host shall pay the Fees together with any VAT within 30 days of the issue of KNect365’s invoice. Time shall be of the essence in respect of the payment of Fees.
5.2 Without prejudice to any other right or remedy that it may have, if the Event Host fails to pay any Fees on the due date for payment, KNect365 shall be entitled to: (i) charge interest at the rate of 4% above the base lending rate of National Westminster Bank Plc accruing on a daily basis until the date of actual payment; and (ii) refuse to provide any element of the Application Form and terminate the Agreement upon which the provisions of Clause 6 shall apply.
5.3 It is the intent of the parties that KNect365 will receive the Fees net of all applicable taxes, including without limitation, sales, VAT, service or withholding taxes (“Taxes”), all of which shall be paid solely by the Advertiser. If and to the extent that any Taxes are levied upon, or found to be applicable to, the whole or any portion of the Fees, the amount of the Fees shall be increased by an amount necessary to compensate for the Taxes (including any amount necessary to “gross up” for Taxes levied on the increase itself).

6. Cancellation
6.1 In the unlikely event of cancellation, a full refund will be provided if we receive a written cancellation notice within 14 days of your initial order.

7. Termination and Expiry
7.1 The Agreement may be terminated by KNect365 if the Event Host goes into liquidation (whether compulsory or voluntary) is declared insolvent or if an administrator or receiver is appointed over the whole or any part of its assets or it enters into an arrangement with creditors or ceases to carry on business or threatens to do any of these things or suffers any analogous event in any jurisdiction.

8. Force Majeure
8.1 KNect365 shall have no liability for failing to perform any obligation set out in the Agreement (including without limitation failing to publish the advertisement on the agreed date) due to causes beyond its reasonable control.

9. General
9.1 The Event Host may not assign or transfer any of its rights under the Agreement. KNect365 shall be entitled to assign or transfer the Agreement to any third party. 9.2 Failure or delay by either party in enforcing an obligation or exercising a right under the Agreement does not constitute a waiver of that right or remedy
9.3 The Event Host acknowledges that the Agreement constitutes the entire agreement between the parties in relation to the subject matter and that it has not entered into the Agreement in reliance upon any oral or written representation made to it by KNect365. No variation of the Agreement shall be effective unless made in writing and signed by or on behalf of each party.
9.4 The Agreement does not confer any rights on any person or party (other than the Event Host, L&P and/or KNect365) pursuant to the Contracts (Rights of Third Parties) Act 1999
9.5 The expiry or termination of the Agreement shall not prejudice any accrued rights or remedies or any provisions of the Agreement which are intended to survive and/or continue to apply after that date which shall include, but not be limited to, clauses 2.2, 5, 6 and 7.1.
9.6 The Agreement is governed by English law and the Advertiser submits to the non-exclusive jurisdiction of the English courts. Nothing in this clause shall prevent the Publisher from pursuing any action against you in the court of competent jurisdiction.

London Technology Week – Event Delegate Privacy Policy

Informa Group (which comprises Informa plc and any and all of its subsidiaries) ("we" or "us") are committed to protecting and respecting your privacy. This privacy policy has been created in order to demonstrate our firm commitment to your privacy.
